TERMS
Terms of Service
Effective date: October 6, 2026
These Terms of Service ("Terms") are a legal agreement between you (an individual or the business you represent, "you" or "your") and Hyperion Advisory LLC, doing business as ProntoBill ("ProntoBill," "we," "us," or "our"), governing your access to and use of the ProntoBill mobile application and related services (the "Service"). By creating an account, starting a trial, or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. The Service
ProntoBill is invoicing and payment software for solo and small service businesses, including electricians, plumbers, contractors, and similar trades. It lets you create customers, jobs, estimates, and invoices; look up applicable sales tax information for supported states; send documents by email, text message, WhatsApp, or other supported methods; accept card, ACH, and eligible installment payments through a connected Stripe account; and export records for accounting and tax purposes.
Your invoice and customer data may be stored locally on your device and synced to a shared cloud workspace so you and anyone you've explicitly authorized can access the same business records.
We may add, change, or remove features at any time. We'll try to give reasonable notice of changes that materially reduce functionality you rely on, but the Service is provided as described in Section 13 below.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You're responsible for the accuracy of the information you provide when creating a business profile and for keeping your account credentials secure.
You're responsible for all activity that occurs under your account, including actions taken by anyone you invite to your business workspace. You must promptly notify us if you believe your account or credentials have been compromised.
3. Subscription, trial, and billing
ProntoBill is offered on a subscription basis, billed per business rather than per user, at the pricing shown in the app at the time you subscribe. Current pricing may include monthly and annual plans.
New subscriptions may include a free trial. If a payment method is required to start a trial, your subscription will begin automatically and your payment method will be charged when the trial ends unless you cancel before then.
Subscriptions renew automatically each billing period until canceled. You may cancel at any time through the method made available for your subscription. Cancellation takes effect at the end of the current billing period, and we don't provide refunds or credits for partial periods except where required by law.
We may change subscription pricing or plan features for future renewal periods with advance notice.
If you subscribed through the Apple App Store or Google Play, billing, renewal, cancellation, and refunds may also be governed by that platform's terms. Managing or canceling your subscription may need to occur through your Apple ID, Google Account, or other applicable platform settings rather than directly through ProntoBill.
4. Team members and business workspaces
A business owner may invite other people to access the same business workspace, such as employees or team members who need to view jobs, create documents, or perform other permitted tasks.
The business owner is responsible for deciding who to invite, what access those people receive, and when access should be removed. The business owner is also responsible for actions taken by invited users within the business workspace. We are not responsible for disputes between a business owner and people the owner has invited.
5. Payments to you through Stripe
If you choose to accept payments through ProntoBill, you'll connect your own account with Stripe, our third-party payment processor. Payment card and bank account information is handled directly by Stripe or other authorized payment providers. ProntoBill does not collect or store your customers' full payment card or bank account details.
Your use of Stripe is also governed by Stripe's own agreements and policies, which you accept separately when you connect your account.
ProntoBill is not a bank, money transmitter, merchant acquirer, or payment processor. We are not a party to payment transactions between you and your customers and are not responsible for payment delays, chargebacks, disputes, reversals, holds, fraud reviews, or errors occurring through Stripe or another payment provider.
You are solely responsible for complying with laws that apply to your business and the payments you collect, including taxes, licensing, consumer disclosures, refunds, contract requirements, and payment-related obligations.
6. Your customers and business transactions
ProntoBill provides software that helps you create and send estimates, invoices, contracts, notices, payment requests, and related business records. We are not a party to any estimate, contract, invoice, job, payment obligation, or other transaction between you and your customer.
You are solely responsible for the products or services you provide, the amounts you charge, the representations you make, the contracts you enter into, the notices you provide, the work you perform, and any dispute with your customer.
You are also responsible for determining whether a document generated or sent through ProntoBill satisfies the legal requirements that apply to your business, trade, location, job, or customer.
7. Your content and your responsibility for it
"Your Content" means anything you enter, upload, create, import, transmit, or configure in ProntoBill, including customer and job records, photos, invoice line items, notes, pricing information, business terms and conditions, messages, and other business information.
You retain ownership of Your Content. You're solely responsible for its accuracy, legality, and appropriateness and for ensuring that you have the rights and permissions necessary to provide it to ProntoBill.
ProntoBill may provide fields, templates, suggested language, calculations, tax information, reminders, notices, or other tools intended to help you operate your business. These features are provided for convenience and do not constitute legal, tax, accounting, licensing, or other professional advice.
Automatically calculated or suggested figures, including sales tax rates, tax treatment, totals, quantities, payment amounts, and similar information, may be inaccurate, incomplete, or out of date. Tax rules may vary based on location, trade, customer type, materials, services, exemptions, contract structure, and other facts. You are responsible for determining the taxes that apply to your business, verifying rates and tax treatment, collecting any required tax, filing required returns, and remitting taxes to the appropriate authority.
You grant us a limited, non-exclusive license to host, store, sync, transmit, reproduce, and process Your Content only as reasonably necessary to operate, secure, support, and improve the Service and to perform actions you request, such as sending documents to customers or processing payment requests.
We do not use Your Content to train general-purpose artificial intelligence models. We may use aggregated or de-identified information that does not reasonably identify you, your business, or your customers for analytics, security, product improvement, and business operations, as described in our Privacy Policy.
8. AI-assisted features
ProntoBill may offer optional artificial intelligence or automated features that extract, interpret, summarize, classify, suggest, or generate information based on content you provide, such as a photographed price list or spoken request.
AI-generated or AI-assisted results may be inaccurate, incomplete, misleading, or inappropriate for your circumstances. You are responsible for reviewing and verifying all AI-assisted output before using, saving, sending, or relying on it.
This includes, without limitation, prices, quantities, descriptions, customer information, tax treatment, contract language, job details, and payment information. You should not rely on AI-assisted output as legal, tax, accounting, licensing, safety, or other professional advice.
9. Records and data retention
You are responsible for keeping copies of estimates, contracts, invoices, notices, payment records, tax records, and other business documents for any period required by law or appropriate for your business. ProntoBill is not a substitute for your own records-retention obligations.
You should export or otherwise preserve any records you need before deleting your account or allowing your subscription to end.
Following account deletion or termination, we may delete Your Content from active systems in accordance with our standard retention practices, subject to legal, security, fraud-prevention, backup, dispute-resolution, and recordkeeping requirements. Deleted information may remain in backups for a limited period before being removed or overwritten in the ordinary course of business.
10. Intellectual property and feedback
ProntoBill, including its software, interfaces, features, designs, workflows, documentation, logos, trademarks, and other proprietary materials, is owned by Hyperion Advisory LLC or its licensors and is protected by intellectual-property laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your own lawful business purposes. No ownership rights in ProntoBill are transferred to you.
If you provide suggestions, ideas, requests, comments, or other feedback about ProntoBill, you grant us the right to use that feedback without restriction or obligation to you.
11. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent, deceptive, or abusive purpose;
- send fraudulent invoices or misrepresent your identity, business, services, pricing, licensing, or authority;
- access or attempt to access another person's or business's account, workspace, or data without authorization;
- interfere with, disrupt, overload, damage, or impair the Service or systems used to provide it;
- upload malware, malicious code, or content intended to compromise another device, account, or system;
- bypass or attempt to bypass authentication, security, rate limits, access controls, or technical restrictions;
- scrape, crawl, systematically extract, or harvest data from the Service except through functionality we expressly provide;
- reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service except where applicable law expressly permits it;
- use the Service to infringe another person's intellectual-property, privacy, publicity, or other legal rights;
- store full payment-card information or other highly sensitive payment credentials in ordinary ProntoBill fields;
- resell, sublicense, rent, or commercially provide access to the Service unless we expressly authorize it; or
- use the Service primarily to build, train, benchmark, or develop a competing product or service.
We may suspend or terminate access if we reasonably believe an account is involved in fraud, unlawful activity, a security threat, nonpayment, abuse, a violation of these Terms, or conduct that could harm ProntoBill, our users, our service providers, or another person. We may also temporarily suspend access for maintenance, operational emergencies, third-party outages, or when required by law.
12. Third-party services
The Service relies on third-party providers for functions such as payment processing, hosting, storage, diagnostics, communications, address services, artificial intelligence, and other infrastructure.
Except where these Terms specifically state otherwise, those third-party services may be governed by their own terms, policies, availability, and technical limitations. We are not responsible for outages, inaccuracies, delays, changes, or acts or omissions of third-party providers that are outside our reasonable control.
Our Privacy Policy explains the categories of service providers we use and how personal information is handled.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY TAX INFORMATION, ADDRESS INFORMATION, AI-ASSISTED OUTPUT, CALCULATION, NOTICE, TEMPLATE, GENERATED CONTENT, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, OR LEGALLY SUFFICIENT.
YOU ARE RESPONSIBLE FOR REVIEWING ALL DOCUMENTS AND INFORMATION BEFORE SENDING THEM TO A CUSTOMER OR RELYING ON THEM FOR BUSINESS, TAX, LEGAL, ACCOUNTING, LICENSING, OR COMPLIANCE PURPOSES.
Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRONTOBILL, HYPERION ADVISORY LLC, AND THEIR OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, RECORDS, OR BUSINESS OPPORTUNITY, OR FOR THE COST OF REPLACEMENT SERVICES, ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
WE ARE NOT RESPONSIBLE FOR LOSSES ARISING FROM DISPUTES BETWEEN YOU AND YOUR CUSTOMERS, FROM YOUR FAILURE TO COMPLY WITH APPLICABLE TAX, LICENSING, CONTRACT, DISCLOSURE, OR RECORDKEEPING REQUIREMENTS, OR FROM THIRD-PARTY SERVICES OUTSIDE OUR REASONABLE CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO PRONTOBILL DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
15. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Hyperion Advisory LLC, ProntoBill, and their officers, employees, contractors, affiliates, and licensors from and against third-party claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising out of or relating to:
- Your Content;
- your products, services, jobs, estimates, invoices, contracts, notices, or transactions with customers;
- your use or misuse of the Service;
- your violation of these Terms or applicable law; or
- your infringement or violation of another person's rights.
We reserve the right to control the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.
16. Termination
You may stop using the Service and delete your account at any time, subject to any subscription-management requirements that apply through the platform where you subscribed.
We may suspend or terminate your access if you violate these Terms, fail to pay amounts due, create a security or fraud risk, use the Service unlawfully, expose ProntoBill or others to legal or operational risk, or if suspension or termination is required by law.
We may also discontinue the Service or a material portion of it. Where practicable, we will provide reasonable notice before doing so.
Sections that by their nature should survive termination will survive, including provisions relating to ownership, feedback, customer transactions, records, disclaimers, limitation of liability, indemnification, disputes, and general legal terms.
17. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you through the app, by email, or through another reasonable method before the changes take effect when required by law.
Continuing to use the Service after updated Terms take effect means you accept the revised Terms.
18. Governing law and disputes
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.
Before filing a lawsuit relating to these Terms or the Service, you and ProntoBill agree to make a good-faith effort to resolve the dispute informally. A party seeking informal resolution must provide the other party with written notice describing the dispute and the requested resolution. The parties will have 30 days from receipt of that notice to attempt to resolve the matter before either party files suit, unless waiting would cause a claim to expire or immediate court relief is reasonably necessary.
Any lawsuit arising out of or relating to these Terms or the Service must be brought in a state or federal court located in the State of Washington that has jurisdiction over the dispute, and each party consents to the personal jurisdiction of those courts.
Nothing in this section prevents either party from seeking temporary, preliminary, or other injunctive relief when necessary to protect intellectual property, confidential information, account security, or prevent imminent harm.
19. General terms
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or similar business transaction.
Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, including internet or telecommunications failures, power outages, natural disasters, labor disruptions, government actions, cyberattacks, or failures of third-party infrastructure.
No agency or partnership. These Terms do not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and ProntoBill.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
No waiver. A failure to enforce any provision of these Terms does not waive our right to enforce it later.
Entire agreement. These Terms, together with the Privacy Policy and any additional terms expressly incorporated into them, constitute the entire agreement between you and ProntoBill regarding the Service and replace prior agreements or understandings concerning the Service.
Electronic communications. You agree that notices, disclosures, and other communications relating to the Service may be provided electronically, including through the app or by email, and that electronic communications satisfy any legal requirement that such communications be in writing to the extent permitted by law.
